University of Wisconsin Law School Professor Yaron Nili’s article “Shadow Governance,” co-authored with Prof. Cathy Hwang and published in the California Law Review, was named as one of Corporate Practice Commentator’s 10 Best Articles of 2020.

The article provides a detailed empirical account of non-charter, non-bylaw governance documents and examines how these various documents influence corporate decision-making and corporate behavior.   

“Broadening the prism to account for the entire governance ecosystem of a corporation rather than merely focusing on a corporation’s foundational documents allows for a better understanding of a corporation’s internal governance as well as its response to shareholders and other stakeholders,”says Nili.  

Teachers in corporate and securities law were asked to select the best corporate and securities articles from a list of articles published in legal journals during 2020. More than 320 articles were on this year’s list.

Nili, an expert in corporate law, securities law, and corporate governance, has a particular focus on the role and function of the board of directors, shareholder voting, engagement and activism, hedge funds and private equity.
